John Kelly, Chairman of the Board, FiberTower Corporation
John Kelly is the Chairman of the Board of FiberTower Corporation.
He also serves as the Executive Vice-Chairman of the
Board for Crown Castle International. Prior to that
he served as President and Chief Executive Officer of Crown
Castle from 2001 to 2008. Prior to his appointment as CEO,
he served as President and Chief Operating Officer of Crown
Castle. Kelly joined Crown Castle in 1998 as President of
Crown Castle USA. From 1990 to 1998, he was the President
and Chief Operating Officer of Atlantic Cellular Company L.P.
From 1995 to July 1998, Kelly was also President and Chief
Operating Officer of Hawaiian Wireless, Inc., an affiliate
of Atlantic Cellular. Kelly has served on the Board of Directors
of the Cellular Carriers Association of California (CCAC)
and as Chairman of the CCAC Public Relations Committee. He
currently sits on the PCIA Board of Directors and serves as
the Chairman of PCIA's Site Owners and Managers Alliance.

Randall A. Hack, Capstone
Capital L.L.C.
Mr. Hack has served as a member of our board
of directors since May 2002. Since January 1995, Mr. Hack
has served as a senior managing director of Nassau Capital
L.L.C., an investment firm that he founded which manages a
portfolio of investments in private companies on behalf of
Princeton University's endowment. From 1990 to January 1995,
Mr. Hack served as President of the Princeton University Investment
Company, which oversees Princeton's Endowment. From 1979 to
1988, he served as President and CEO of Matrix Development
Company, a commercial and
industrial real estate development firm that he founded. Mr.
Hack also serves as President and Chief Executive Officer
of Capstone Capital L.L.C., an investment firm that he founded.
He also serves as an Advisory Director for Berkshire Partners,
a Boston-based private equity firm. Mr. Hack received an A.B.
degree from Princeton University and a M.B.A. degree from
Harvard Business School.

Mark Holliday,
Camden Asset Management
Mark Holliday is a partner and portfolio
manager at Camden Asset Management. His portfolio at Camden,
which he joined in 2003, focuses on special situations. Camden
is a $2.5 billion hedge fund, specializing in convertible
and capital structure arbitrage. Prior to joining Camden,
Holliday was a portfolio manager at Deephaven Capital Management
and a principal at Heartland Capital Corp. from 1995 to 2000.
Holliday also serves as Audit Committee Chairman of Movie
Gallery Inc., the second largest video rental company in the
United States, and director of MCAR (Mirant Litigation Trust).
Holliday previously served as Audit Committee Chairman for
Assisted Living Concepts, Inc., which operated, owned and
leased assisted living residences, from 2002 until its acquisition
in 2005, and was Chairman of the Board and a member of the
Audit Committee for Reptron Electronics from 2004 until its
reorganization of equity ownership in July 2005. Holliday
also was an Audit Committee member for TELETRAC, Inc. from
1999 to 2001. Holliday earned a B.A. in economics from Northwestern
University. He is also Chairman of the FiberTower Audit Committee.

Phil Kelley, Crown Castle
International Corporation
Phil Kelley serves as Senior Vice President, Corporate Development and Strategy for Crown Castle International Corporation. Prior to that appointment in September 2008, Mr. Kelley served as Managing Director of Crown Castle Australia from May 2004. Prior to that, he served as Vice-President with strategic oversight of Crown Castle’s subsidiary companies and mergers and acquisitions efforts. Prior to joining Crown Castle International in April of 1997, Phil was a financial analyst, then an asset manager with Archon Group, a wholly-owned subsidiary of Goldman Sachs of New York. He graduated cum laude from Harvard University with a concentration in Economics.

Steven Scheiwe, Ontrac
Advisors, Inc.
Steven Scheiwe is the President of Ontrac
Advisors, Inc, which provides analysis and management services
to private equity groups, privately held companies and funds
managing distressed corporate debt issues. Scheiwe also currently
serves on the Board of Directors of General Chemical Industrial
Products, Inc., a leading North American supplier of soda
ash to a broad range of industrial and municipal customers.
Prior to Ontrac, he was the CEO and Board Member at Teletrac,
Inc. Before Teletrac, Scheiwe held positions at Premiere Page,
Inc, a division of Arch Wireless, and Hardesty, Puckett, Queen
& Co.

Kurt
Van Wagenen, President and Chief Executive Officer
Kurt Van Wagenen serves as President and Chief Executive
Officer for FiberTower. Prior to FiberTower, he served as
President and CEO of NEON (formerly Globix Corporation) from
January of 2007 until November of 2007 when NEON merged with
RCN Corporation. Prior to being appointed CEO of NEON, he
served as President and Chief Operating Officer of Globix
Corporation after being promoted from his prior position as
Chief Operating Officer of Globix Corporation’s Network
Services division. Van Wagenen also served as Vice President
of Network and Operations for NEON Communications from 2001
until the merger of NEON and Globix in 2005. Before joining
NEON in 2001, Van Wagenen was employed by Verizon Communications
and its various predecessors in diverse positions of increasing
responsibility, where he commenced his employment in 1986.
Van Wagenen holds an M.B.A. from Harvard University and a
B.S. in Engineering from the Rensselaer Polytechnic Institute.
He is also a Chartered Financial Analyst.

John Kevin Braniff, Black Raven Partners LLC
John Kevin Braniff joined the FiberTower board in December 2009.
Mr. Braniff has been Managing Partner of Black Raven Partners LLC
since 2006. Prior to that, he was a Managing Director and a member
of the Board of Directors of UBS Investment Bank from 2000 to 2005.
Mr. Braniff has also previously held positions at Paine Webber, Salomon
Brothers, Hambrecht & Quist and Drexel Burnham Lambert.
